Terms of Service.
These terms of service (“Terms”) govern your registration for and participation in the 5R Leadership Development Programme and any associated materials, products and services (“Programme”), provided by Synact (Identify Leadership Pty Ltd) ABN 24 658 774 175 (“Synact”, “we”, “us”). By registering for or participating in the Programme, you agree to these Terms. If you do not agree, you should not register.
Where you register on behalf of an organisation or another individual, you confirm you are authorised to accept these Terms on their behalf, and references to "you" include both you and that participant.
1. About the Programme and Synact
Synact is the exclusive worldwide licensee of the 5R Leadership Development Programme, which was developed at and is owned by The University of Queensland (UQ). We deliver the Programme under licence from UQ.
2. Registration and acceptance
A binding agreement is formed when we accept your registration, which occurs when we confirm your place and your payment has been received or otherwise arranged to our satisfaction. We may decline or withdraw a registration at our discretion, in which case any payment made for that registration will be refunded.
3. Fees, payment and GST
All fees are in Australian dollars and are inclusive of GST unless stated otherwise. Payment is due in full before the Programme commences, unless we agree alternative terms in writing. Payment may be made by the methods offered at registration. Where payment is not received by the due date, we may treat the place as not secured and release it.
4. Cancellations, transfers and substitutions
For these Terms, the Programme “commences” on its first scheduled day.
Cancellation by you, 14 or more days before commencement: a full refund, less any non-recoverable third party costs already incurred on your behalf (for example, participant materials already ordered).
Cancellation by you, fewer than 14 days before commencement: fees are non-refundable, but you may transfer your registration to a future scheduled Programme within 12 months, subject to availability.
Substitution: at any time before commencement you may nominate a colleague to attend in your place at no extra charge, by giving us written notice with the substitute's details.
All cancellation, transfer and substitution requests must be made in writing.
If you do not attend without prior written notice, fees are not refundable and no transfer applies, except where we determine exceptional circumstances apply, at our discretion.
5. Changes and cancellation by us
We may change the date, venue, format or facilitator of a Programme where reasonably necessary. We may also reschedule or cancel a Programme, including where minimum enrolment numbers are not reached. If we cancel and cannot offer you a suitable alternative, we will refund the fees you have paid for that Programme. We are not liable for incidental costs you incur in connection with attending, such as travel or accommodation.
6. What is included
Your registration includes the facilitated Programme as described at registration, together with the participant materials specified there, which may include a participant workbook, a copy of The New Psychology of Leadership, CARE cards, access to online resources and catering. Materials are provided for your own personal and professional development use only. Some materials are the copyright of third parties and are provided to you on that basis.
7. Intellectual property
All intellectual property rights in the Programme and its materials, including the 5R framework, the CARE model and associated trade marks, are owned by The University of Queensland and its licensors, and are used by Synact under exclusive licence. Certain materials provided to you, including any published book, are the copyright of their respective authors and publishers.
We grant you a limited, non-exclusive, non-transferable and personal licence to use the Programme materials solely for your own internal personal and professional development. You must not, without our prior written consent:
copy, reproduce, record, photograph or transcribe the Programme or its materials, in whole or in part;
modify, adapt or create derivative works from the materials;
distribute, publish, share, sell, sublicense or otherwise make the Programme or its materials available to any third party; or
use the Programme or its materials to deliver, develop or support any competing or derivative programme.
Nothing in these Terms transfers any ownership of intellectual property to you. Delivery of the Programme by you, or training and accreditation to facilitate it, is available only under a separate written agreement with Synact.
8. Recording
You may not make any audio or video recording of any Programme session without our prior written consent. This protects both the intellectual property in the Programme and the privacy of other participants.
9. Participant conduct and confidentiality
The Programme involves personal reflection and the sharing of experiences within a cohort. You decide what you choose to share. To protect the trust the Programme depends on, you agree to keep confidential any personal or organisational information shared by other participants, and not to disclose or use it outside the Programme. We ask all participants to engage respectfully and constructively.
10. Nature of the Programme
The Programme is a leadership and professional development programme. It is not psychological treatment, counselling, clinical care or professional advice, and it is not a substitute for them. If you have health or wellbeing concerns, you should seek appropriate professional support.
11. Privacy and images
We handle personal information in accordance with our Privacy Policy at 5rleadership.com.au/privacy. We will only photograph or film you, or use your image in our materials or marketing, with your consent, which you may decline or withdraw.
12. Consumer guarantees and liability
Our services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these Terms excludes, restricts or modifies those rights.
To the extent permitted by law, and except for liability that cannot be limited under the Australian Consumer Law, our total liability arising out of or in connection with the Programme is limited, at our option, to resupplying the Programme or services or paying the cost of having them resupplied. To the extent permitted by law, we are not liable for any indirect or consequential loss, or for loss of profit, revenue or opportunity.
Nothing in these Terms limits liability that cannot lawfully be limited, including liability for personal injury or death, or for fraud or wilful misconduct.
13. Events beyond our control
We are not liable for any delay or failure to perform caused by circumstances beyond our reasonable control, including natural disasters, public health events or pandemics, government directions, or the unavailability of premises or personnel. Where such an event prevents the Programme proceeding, we will work with you in good faith to reschedule or, where that is not reasonably possible, to provide a fair refund.
14. Changes to these Terms
We may update these Terms from time to time. The version in force is the one published on our website at the time you register.
15. Governing law
These Terms are governed by the laws of Queensland, Australia, and you submit to the non-exclusive jurisdiction of the courts of Queensland.
